TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your access to and use of BiZiLiA.com (the “Website”) and the services, features, functionality, tools, information, and content made available through the Website.

1. DEFINITIONS

For purposes of these Terms, the following terms have the meanings set forth below:

• “BiZiLiA,” “Company,” “we,” “us,” or “our” means Sohn Group, LLC, the owner and operator of BiZiLiA.com and the Services.
• “Website” means BiZiLiA.com, including its webpages, features, tools, databases, and any mobile or other applications that may be offered by BiZiLiA.
• “Services” means the services, features, functionality, tools, information, and resources made available through the Website, including the ability to create, publish, search, browse, view, manage, and respond to Listings.
• “Platform” means the Website and Services collectively.
• “Listing” means any advertisement, posting, or listing submitted or displayed through the Platform relating to the potential sale, purchase, lease, transfer, or availability of a business or business opportunity, including businesses, restaurants, franchises, business assets, equipment, business-related real estate, startup opportunities, and other business opportunities permitted by BiZiLiA.
• “Lister” or “Seller” means any person or entity that creates, submits, publishes, manages, or is represented in connection with a Listing on the Platform, including business owners, brokers, agents, representatives, and other authorized Users.
• “Buyer” means any person or entity that uses the Platform to search for, evaluate, inquire about, or potentially purchase, lease, finance, or invest in a business, business asset, franchise, business-related real estate, or other business opportunity.
• “User,” “you,” or “your” means any individual or entity that accesses, browses, registers with, submits information to, or otherwise uses the Platform, including Buyers, Sellers, brokers, agents, professionals, and other visitors.
• “Account” means a registered User account created to access certain features or Services available through the Platform.
• “Submitted Content” or “User Content” means any information, text, descriptions, financial information, business information, photographs, images, videos, documents, graphics, messages, links, contact information, or other materials submitted, uploaded, transmitted, or otherwise provided by a User through the Platform.
• “BiZiLiA Content” means information, text, graphics, designs, logos, software, databases, organization, layout, features, tools, and other materials owned, licensed, created, or provided by BiZiLiA, excluding User Content.
• “Transaction” means any proposed or completed purchase, sale, lease, transfer, financing, investment, or other transaction involving a business, asset, property, franchise, or opportunity identified through or in connection with the Platform.
• “Terms” means these Terms of Use, together with any policies, rules, notices, or additional terms expressly incorporated into them.

2. ABOUT BIZILIA

BiZiLiA provides an online listing and advertising platform designed to connect people and businesses interested in buying and selling businesses and real estate.

BiZiLiA provides the Platform through which Users may create, discover, search, view, manage, and communicate about Listings. Unless expressly stated otherwise, BiZiLiA is a listing and advertising platform only and does not own, buy, sell, inspect, appraise, independently verify, endorse, recommend, or guarantee any business, real estate, asset, franchise, Listing, Buyer, Seller, or opportunity appearing on or accessed through the Platform.

BiZiLiA is not a party to any Transaction or agreement between Users and does not represent Buyers, Sellers, property owners, tenants, brokers, agents, investors, or other Users.

BiZiLiA does not act as a real estate broker, business broker, agent, investment adviser, financial adviser, attorney, accountant, appraiser, lender, escrow agent, or other professional adviser.

3. ELIGIBILITY AND ACCOUNTS

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Platform.

Users may be required to create an Account to post Listings or access certain features or Services.

You agree to provide accurate, complete, and current Account information and to maintain the security and confidentiality of your login credentials.

You are responsible for activity conducted through your Account. You may not impersonate another person or entity or create or use an Account with false, deceptive, or misleading information.

BiZiLiA may suspend, restrict, or terminate Accounts that violate these Terms or present potential legal, security, fraud, abuse, or other risks to the Platform or its Users.

4. USER LISTINGS

Registered Users may submit business and real estate Listings permitted by BiZiLiA.

Unless otherwise stated by BiZiLiA, a Listing may remain active on the Platform for up to six (6) months from the date it is published. BiZiLiA may require a User to renew, update, confirm, or resubmit a Listing after that period. BiZiLiA may also remove, expire, suspend, or archive a Listing before the end of the six-month period if it violates these Terms, appears inaccurate or outdated, is no longer available, presents a legal, security, fraud, or marketplace-integrity concern, or if BiZiLiA reasonably determines removal is appropriate. BiZiLiA does not guarantee that any Listing will remain published for the full six-month period.

By submitting a Listing, you represent and warrant that:

• You have the legal right or appropriate authorization to advertise the business, property, asset, franchise, or opportunity.
• The information you provide is accurate and complete to the best of your knowledge and is not false, deceptive, misleading, or materially incomplete.
• Your Listing complies with applicable laws and regulations.
• Your Listing does not infringe another person’s intellectual property, privacy, publicity, contractual, or other rights.
• You own or have all licenses, permissions, consents, and other rights necessary to use, upload, reproduce, and display all photographs, images, videos, logos, descriptions, documents, data, and other materials included in your Listing.
• Any photographs, images, listing information, descriptions, or other materials obtained from an MLS, website, search engine, database, listing service, third-party platform, or other source may be used on BiZiLiA only if you have all rights and permissions required to use and display that content.
• You will update or remove materially inaccurate, misleading, unauthorized, or outdated information when appropriate.

BiZiLiA may review, reject, edit, limit, suspend, or remove Listings or User Content when reasonably necessary to enforce these Terms, comply with applicable law, address intellectual-property or other rights complaints, protect Users or third parties, prevent fraud or abuse, or maintain the integrity and operation of the Platform.

BiZiLiA is not obligated to independently investigate or verify any Listing, User, photograph, image, document, or other User Content.

5. LISTING ACCURACY AND VERIFICATION

Listing information is generally provided by Users and third parties.

BiZiLiA does not guarantee the accuracy, completeness, reliability, legality, availability, ownership, profitability, financial performance, asking price, valuation, zoning, square footage, condition, licenses, leases, contracts, inventory, equipment, revenue, expenses, income, or other information associated with any Listing.

The appearance of a Listing on BiZiLiA does not constitute an endorsement, certification, verification, recommendation, appraisal, or guarantee by BiZiLiA.

Users are responsible for independently verifying material information before making decisions or entering into Transactions.

6. BUSINESS LISTINGS

Business Listings may contain information concerning revenue, expenses, cash flow, earnings, inventory, assets, leases, employees, customers, licenses, contracts, financial condition, or other business matters.

Such information may be supplied by the Seller or another User or third party and may not have been independently verified by BiZiLiA.

Prospective Buyers are responsible for conducting their own due diligence and should consult appropriate attorneys, accountants, tax professionals, financial advisers, lenders, business brokers, inspectors, and other qualified professionals when appropriate.

BiZiLiA does not guarantee the profitability, value, financial condition, future performance, authenticity, suitability, or viability of any business or business opportunity listed on the Platform.

7. REAL ESTATE LISTINGS

Real estate information appearing on BiZiLiA is intended for marketplace, advertising, and informational purposes.

Users posting Real Estate Listings are responsible for ensuring that they possess any authorization, license, consent, or other legal right required to advertise the property.

BiZiLiA does not guarantee property ownership, title, boundaries, acreage, square footage, zoning, permitted use, environmental condition, physical condition, taxes, liens, availability, pricing, or other property information.

Users should independently verify all material information and obtain appropriate professional inspections, title services, legal advice, surveys, appraisals, environmental reviews, and other due diligence before entering into a Transaction.

Nothing on the Platform should be interpreted as a representation that BiZiLiA has inspected, appraised, verified, or approved any property.

8. FAIR HOUSING AND NONDISCRIMINATION

Users must comply with applicable federal, state, and local fair-housing and anti-discrimination laws.

Listings or communications containing unlawful discriminatory preferences, limitations, exclusions, statements, or practices are prohibited.

BiZiLiA may remove content, reject or suspend Listings, or restrict or terminate Accounts that violate applicable fair-housing or anti-discrimination requirements.

9. BROKERS, AGENTS, AND OTHER PROFESSIONALS

Brokers, agents, attorneys, accountants, consultants, lenders, and other professionals using BiZiLiA are independently responsible for maintaining all licenses, registrations, disclosures, authorizations, and professional requirements applicable to their activities.

The presence of a professional or person claiming professional qualifications on BiZiLiA does not constitute an endorsement, certification, recommendation, or verification of that person’s identity, qualifications, experience, licensing, or professional standing unless BiZiLiA expressly states otherwise.

Users should independently verify professional credentials and qualifications where appropriate.

10. BUYER AND SELLER RESPONSIBILITIES

Users are solely responsible for evaluating potential counterparties, Listings, opportunities, and Transactions.

BiZiLiA does not guarantee the identity, legitimacy, authority, financial capacity, qualifications, intentions, representations, or conduct of any User.

Before purchasing, selling, leasing, financing, transferring, or investing in a business, asset, franchise, or business-related property, Users should independently investigate all relevant financial, legal, tax, operational, physical, ownership, licensing, and regulatory matters.

Users acknowledge that Transactions involving businesses, assets, franchises, and business-related real estate may involve substantial financial, legal, tax, operational, and other risks. Users are responsible for evaluating and accepting those risks before proceeding.

BiZiLiA is not responsible for communications, negotiations, inspections, due diligence, financing, deposits, payments, escrow, closing, title transfer, contracts, representations, warranties, transfers, purchases, sales, or disputes arising between Users unless BiZiLiA expressly agrees in writing to provide a particular service.

Users should exercise appropriate caution when communicating with other Users, sharing sensitive information, transferring funds, or entering into agreements.

11. NO PROFESSIONAL OR INVESTMENT ADVICE

Information provided through BiZiLiA is for general informational, advertising, and marketplace purposes only.

Nothing available through the Platform constitutes legal, tax, accounting, financial, investment, real estate, valuation, lending, or other professional advice.

Users should consult qualified professionals before making significant financial, legal, tax, investment, real estate, or business decisions.

12. PROHIBITED CONDUCT

You may not use BiZiLiA to:

• Post fraudulent, deceptive, misleading, materially inaccurate, or unlawful Listings or content.
• Advertise a business, property, asset, franchise, or opportunity that you do not have the right or appropriate authorization to offer.
• Impersonate another person or entity or misrepresent your identity, authority, affiliation, qualifications, or relationship with another person or entity.
• Violate or infringe intellectual-property, copyright, trademark, privacy, publicity, contractual, or other rights.
• Upload, post, copy, reproduce, distribute, or display photographs, images, videos, logos, descriptions, documents, graphics, data, or other content that you do not own or do not have sufficient permission or legal authority to use.
• Copy, download, scrape, reproduce, republish, or use photographs, images, descriptions, listing information, or other content obtained through Google Images, other search engines, websites, social-media platforms, listing websites, databases, or third-party services unless you have the legal right and any required permission to use that content.
• Upload, reproduce, republish, or use photographs, listing information, remarks, data, documents, or other material obtained from a Multiple Listing Service (“MLS”) unless you have all rights, licenses, permissions, and authorizations required to use and display that material on BiZiLiA.
• Use stock photographs, digitally altered images, artificial or manipulated images, photographs of another business or property, or other visual content in a manner that materially misrepresents or could reasonably mislead Users regarding a Listing.
• Post sexually explicit, pornographic, obscene, excessively graphic, or otherwise inappropriate photographs, videos, descriptions, language, or other content.
• Post content containing unlawful threats, harassment, hate speech, abusive conduct, discriminatory material, or content that promotes or facilitates illegal activity.
• Post content depicting, promoting, or facilitating sexual exploitation, abuse, trafficking, unlawful violence, or other illegal or seriously harmful conduct.
• Engage in unlawful discrimination.
• Distribute malware, malicious software, harmful code, or other technologically harmful material.
• Attempt unauthorized access to Accounts, systems, networks, data, or other portions of the Platform.
• Scrape, harvest, crawl, copy, download, or systematically extract Platform data except as expressly permitted by BiZiLiA or applicable law.
• Send spam or unsolicited commercial communications in violation of applicable law.
• Post repetitive, irrelevant, deceptive, promotional, or unsolicited content, Listings, links, messages, or advertisements that BiZiLiA reasonably considers spam or that are primarily intended to manipulate traffic, search results, or User engagement.
• Post, advertise, promote, facilitate, or link to gambling, wagering, betting, lotteries, casinos, sweepstakes operated as gambling, or other gambling-related products, services, or activities, except where expressly permitted by BiZiLiA and lawful under all applicable laws.
• Manipulate Listings, rankings, reviews, traffic, search results, or Platform functionality.
• Use the Platform to facilitate fraud, money laundering, unlawful financial activity, or other illegal activity.
• Interfere with, disrupt, damage, or impose an unreasonable burden on the operation, functionality, or security of the Platform.
• Use BiZiLiA for unlawful, fraudulent, deceptive, abusive, or unauthorized purposes.

BiZiLiA reserves the right to remove or restrict access to any Listing or User Content that BiZiLiA reasonably believes violates these Terms, applicable law, the rights of another person or entity, or BiZiLiA’s content and marketplace standards, and may suspend or terminate Accounts associated with such violations.

13. USER CONTENT AND LICENSE

You retain ownership of User Content you submit to BiZiLiA, subject to the license granted below.

By submitting User Content, you grant BiZiLiA a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, distribute, and otherwise use that User Content as reasonably necessary to operate, provide, maintain, market, improve, and promote the Platform and the applicable Listing.

You represent and warrant that you have all rights, licenses, permissions, and authorizations necessary to submit the User Content and grant the rights described in these Terms.

This license ends when the applicable User Content is removed from our active systems, except where continued retention or use is reasonably necessary for backups, legal or regulatory compliance, fraud prevention, security, dispute resolution, enforcement of these Terms, or other legitimate business purposes.

14. INTELLECTUAL PROPERTY

The BiZiLiA name, logos, Platform design, software, graphics, databases, organization, and other BiZiLiA Content are owned by or licensed to BiZiLiA and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms or applicable law, Users may not reproduce, distribute, modify, sell, license, commercially exploit, or create derivative works from BiZiLiA Content without appropriate authorization.

Nothing in these Terms transfers ownership of BiZiLiA Content or intellectual property rights to any User.

15. THIRD-PARTY SERVICES AND LINKS

BiZiLiA may contain links to, integrations with, advertisements for, or information concerning third-party websites, products, professionals, and services.

BiZiLiA does not control and is not responsible for third-party websites or services, including their content, availability, accuracy, security, privacy practices, products, services, representations, or Transactions.

The presence of a link, advertisement, integration, or reference to a third party does not necessarily constitute an endorsement or recommendation by BiZiLiA.

Your dealings with third parties are solely between you and the applicable third party.

16. FEES AND PAYMENTS

BiZiLiA may offer certain Services free of charge and may introduce or offer optional paid Services or features from time to time.

If paid Services are introduced or offered, applicable prices, billing terms, renewal terms, cancellation rules, refund policies, and other material payment terms will be disclosed before purchase as required by applicable law.

BiZiLiA may modify pricing or introduce new paid features subject to applicable law and any commitments made at the time of purchase.

Unless expressly stated otherwise, payments, deposits, purchase prices, financing, escrow funds, or other amounts exchanged in connection with a Transaction between Users are not payments to BiZiLiA and are solely the responsibility of the applicable parties and service providers.

17. PLATFORM AVAILABILITY

BiZiLiA does not guarantee that the Platform will always operate without interruption, delay, error, defect, data loss, or security incident.

Features and Services may be added, modified, restricted, suspended, discontinued, or replaced from time to time.

BiZiLiA may perform maintenance or restrict access to all or part of the Platform when reasonably necessary for operational, legal, security, fraud-prevention, or other legitimate purposes.

18. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIZILIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

BIZILIA DOES NOT WARRANT OR GUARANTEE THAT ANY LISTING WILL RESULT IN AN INQUIRY, OFFER, NEGOTIATION, FINANCING, SALE, PURCHASE, LEASE, INVESTMENT, OR COMPLETED TRANSACTION.

BIZILIA DOES NOT WARRANT OR GUARANTEE THAT ANY BUYER WILL FIND, OBTAIN FINANCING FOR, OR SUCCESSFULLY ACQUIRE ANY BUSINESS, PROPERTY, ASSET, FRANCHISE, OR OTHER OPPORTUNITY THROUGH THE PLATFORM.

Some jurisdictions do not permit certain warranty exclusions or limitations, so portions of this Section may not apply to you.

19. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIZILIA AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE PLATFORM OR ANY TRANSACTION, LISTING, USER, OR THIRD PARTY CONNECTED WITH THE PLATFORM.

THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, LOSSES ARISING FROM INACCURATE, INCOMPLETE, FRAUDULENT, OR MISLEADING LISTINGS; UNSUCCESSFUL TRANSACTIONS; LOST PROFITS; LOST REVENUE; LOST BUSINESS; LOST OPPORTUNITIES; FRAUD OR MISCONDUCT BY ANOTHER USER; BUSINESS INTERRUPTION; DATA LOSS; UNAUTHORIZED ACCESS; OR DISPUTES BETWEEN USERS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIZILIA IS NOT RESPONSIBLE FOR THE ACTS, OMISSIONS, REPRESENTATIONS, WARRANTIES, AGREEMENTS, PAYMENTS, OR CONDUCT OF USERS OR THIRD PARTIES.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

20. INDEMNIFICATION

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless BiZiLiA and its owners, officers, directors, employees, affiliates, agents, contractors, and service providers from and against claims, demands, liabilities, damages, judgments, losses, costs, and reasonable expenses, including reasonable attorneys’ fees, arising out of or relating to:

• Your Listings or User Content;
• Your use or misuse of the Platform;
• Your Transactions or dealings with other Users or third parties;
• Your violation of these Terms;
• Your violation of applicable law; or
• Your violation of another person’s or entity’s rights.

21. DISPUTES BETWEEN USERS

BiZiLiA provides a Platform through which Users may discover, advertise, evaluate, and communicate regarding potential business and business-related opportunities.

BiZiLiA is generally not responsible for mediating, resolving, or adjudicating disputes between Buyers, Sellers, property owners, tenants, brokers, agents, professionals, or other Users.

Users are responsible for resolving disputes arising from their own communications, negotiations, agreements, Listings, and Transactions.

The arbitration provisions below govern covered disputes between you and BiZiLiA. They do not automatically require independent Users to arbitrate disputes with one another.

22. DISPUTE RESOLUTION AND BINDING ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO HAVE CERTAIN DISPUTES DECIDED IN COURT.

Before initiating arbitration, you and BiZiLiA agree to make a reasonable, good-faith effort to resolve any covered dispute informally.

Except for disputes that applicable law permits to be brought in small-claims court and claims for injunctive or equitable relief that applicable law permits to be brought in court, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, the Services, or your relationship with BiZiLiA that cannot be resolved informally shall be resolved through binding individual arbitration to the extent permitted by applicable law.

Arbitration shall be conducted on an individual basis by a mutually agreed recognized arbitration provider under rules applicable to the nature of the dispute. If the parties cannot agree on an arbitration provider or applicable rules, either party may seek appointment or other appropriate relief from a court of competent jurisdiction as permitted by applicable law.

The arbitrator shall have authority to award relief available under applicable law, subject to any lawful limitations contained in these Terms.

NO CLASS ACTIONS. To the extent permitted by applicable law, you and BiZiLiA agree that covered disputes will be resolved only on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, coordinated, or representative proceeding.

Nothing in this Section prevents either party from seeking relief in small-claims court when the dispute qualifies or from seeking temporary or preliminary injunctive relief from a court when permitted by applicable law.

If any portion of this arbitration provision is determined to be invalid or unenforceable, the remaining portions will remain effective to the maximum extent permitted by applicable law, unless applicable law requires otherwise.

23. GOVERNING LAW

Except where federal law or another applicable law requires otherwise, these Terms and any dispute arising out of or relating to these Terms or the Platform are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

For disputes that are not subject to arbitration, the parties consent to personal jurisdiction in the state and federal courts located in Georgia, provided that venue shall be determined in accordance with applicable law.

Nothing in this Section prevents the application of any law that cannot lawfully be waived or limited by agreement.

24. TERMINATION AND SUSPENSION

BiZiLiA may suspend, restrict, or terminate your Account or access to all or part of the Platform when reasonably necessary because of violations of these Terms, suspected fraud or abuse, security concerns, legal requirements, risks to Users or the Platform, or other legitimate operational or legal reasons.

Users may stop using BiZiLiA at any time.

Termination or suspension does not affect rights or obligations that accrued before termination.

Provisions that by their nature should survive termination—including intellectual property provisions, User Content licenses to the extent expressly stated, disclaimers, limitations of liability, indemnification, and dispute-resolution provisions—will survive termination to the extent permitted by applicable law.

25. CHANGES TO THESE TERMS

BiZiLiA may update these Terms from time to time.

When material changes are made, BiZiLiA will provide notice as required by applicable law. Updated Terms will identify the applicable effective or last-updated date.

Where required by applicable law or where BiZiLiA determines appropriate, BiZiLiA may request affirmative acceptance of materially revised Terms.

Your continued use of the Platform after updated Terms become effective may constitute acceptance of the updated Terms to the extent permitted by applicable law.

26. PRIVACY

Your use of BiZiLiA is also subject to the BiZiLiA Privacy Policy, which explains how personal information is collected, used, disclosed, retained, and protected.

The Privacy Policy is incorporated into or applies alongside these Terms to the extent stated in that policy and permitted by applicable law.

27. ELECTRONIC COMMUNICATIONS

By using BiZiLiA, you consent to receiving communications electronically when permitted by applicable law.

Electronic communications may include notices relating to your Account, Listings, the Platform, these Terms, the Privacy Policy, security matters, Transactions, or other Services.

Marketing communications will be handled in accordance with applicable law and the preferences or unsubscribe mechanisms provided with those communications.

28. GENERAL PROVISIONS

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by applicable law.

BiZiLiA’s failure or delay in enforcing any provision of these Terms does not constitute a waiver of that provision or any other right.

You may not assign or transfer your rights or obligations under these Terms without BiZiLiA’s consent where such consent may lawfully be required.

BiZiLiA may assign or transfer these Terms in connection with a merger, acquisition, financing, corporate reorganization, restructuring, sale of assets, change of control, or similar transaction, subject to applicable law.

These Terms, together with the Privacy Policy and any other policies, rules, notices, or additional terms expressly incorporated into them, constitute the agreement between you and BiZiLiA concerning your use of the Platform.

Headings are provided for convenience only and do not affect the interpretation of these Terms.

29. CONTACT US
